General

Rutsaert Legal advises regulated and unregulated investment funds. Our work covers structuring, drafting issuing documentation, liaising with regulators, as well as advising on the related corporate finance legal matters and regulatory issues.

More generally, we provide corporate finance legal advice to corporates and banks covering a large spectrum of transactions including setting-up, debt financing, equity financing, M&A and restructuring. 

Our firm ranked as a LEGAL 500 “Recommended Law Firm” in Luxembourg for Investment Funds and Corporate.

Investment Funds

  • Advising a major independent operator of wireless telecommunications infrastructure in Europe to set up as anchor investor a €1B digital infrastructure  fund as RAIF.

  • Advising Cube Infrastructure on the acquisition of a part of Sigfox, the initiator of a low-power network (0G) dedicated to the Internet of Things (IoT).

  • Advising Corviglia Capital Fund, a Luxembourg unregulated Special Limited Partnership sponsored by a major Russian banking group, to set-up a $250M Fintech fund; We also assisted with the registration of the AIFM with the CSSF.

  • Advising OXO Group, the accelerator and PE firm, to set up OXO CEE Angel Fund SCSp SICAR, a regulated Luxembourg PE fund with the European Investment Fund as cornerstone investor.

  • Advising a Sharia compliant UCITS fund Salam-Pax Sicav set up by Swiss Life Banque Privée; Our firm advises the client on a daily basis, e.g. with the set-up of additional sub-funds. 

  • Rutsaert Legal advises Kaminiora S.A., a UCITS fund, in relation with the set-up of an additional sub-fund.

  • Advising Nordic Aged Care SCSp SICAV-SIF in relation with their internal corporate governance.

  • Advising A&E Global SCSp, an unregulated Luxembourg Special Limited Partnership investing in Real Estate in Mexico. RL set-up the fund, assisted with the registration of the AIFM with the CSSF.

  • Advising Andera Partners (former Edmond de Rothschild Investment Partners), the French PE firm, in relation with the liquidation of their Luxembourg assets.

  • Advising York Capital, a major US PE firm, in tandem with the Luxembourg advisory firm Engelwood to set up a PE fund, in the form of a Special Limited Partnership.

  • Advising Vici Properties in tandem with the US law firm Kramer Levin with a private placement in Luxembourg.

  • Setting-up a specialised investment fund (“SIF”) pursuing various flagship strategies for the ultra-high net worth clients of Rothschild Bank AG, a Swiss private bank. The structure is a multimanager umbrella fund, with each sub-fund targeting investors with different risk profiles.

Corporate Finance 

We regularly advise borrower and lenders for their lending activities and have extensive experience in securitisation, repackagings and debt issuance programmes. The clients are banks and large corporates; The work consists in structuring the deals ensuring their legal robustness, in particular via a reliable security package and liquidity facilities; issuance of a enforceability legal opinions to the investors/arranger. 

Finance, securitisation and repackaging

  • Advising a major German bank with the financing of a real estate development in Germany; advising on the German law governed facility agreement and on the Luxembourg law governed security package, issuance of the enforceability legal opinion.

  • Advising a German bank with the financing the acquisition of a the German activities of a major fast food group.

  • Advising Cred LLC with the launch of a new compartment securitising consumer loans; the notes are to be listed on the LuxSE.

  • Advising Microstock Securitisation S.A. on the securitisation of IP stocks.

  • Advising Tawreeq Group (Dubai) to set-up their commercial debts securitisation platform in Luxembourg.

  • Advising Baltic-American Mortgage Holdings in over $63 Million Residential Mortgage Securitization in Republic of Latvia.

  • Assisting Latham & Watkins, the US law firm, with the issuance of collateralized debt obligations (“CDOs”) for a US institutional.

  • Advising Europaïsche Hypothekenbank for a tap issue of public Pfandbriefe governed by Luxembourg law and listed on the regulated market of the Luxembourg Stock Exchange.

  • Assisting Clifford Chance (Frankfort) with the securitisation of Darlehen contracts for a German landesbank.

  • Assisting Clifford Chance (Moscow and London) with the securitisation of retail auto loans originated by a Russian bank.​

Listing of notes, units of funds and GDRs

  • Advising Apollo Enterprise Solutions, Ltd (“AES”) to move its listing from the Frankfort Stock Exchange to the EuroMTF market of the Luxembourg Stock Exchange.

  • Advising a Luxembourg securitisation fund to be listed and admitted to trading on the Luxembourg Stock Exchange.

  • Advising a Luxembourg Specialised Investment Fund (“SIF”) to achieve a listing of units issued by certain of its compartments.

  • Advising Cox and Kings (Limited), an Indian company, with respect to the issuance and listing of Global Depository Receipt on the Luxembourg Stock Exchange. Quentin Rutsaert advised Cox and Kings as well as other multinationals with respect to ongoing obligations of the issuer towards the Luxembourg Stock Exchange. He advised DLA Piper (Brussels office) to act as listing agent.

  • Advising Genting Berhad, a Malaysian company, for the Initial Public Offering of its shares on the Luxembourg Stock Exchange.

Publications, conferences and professional association membership

  • Quentin Rutsaert is a regular speaker for Kluwer Seminars and for Finix Events on securitisation in Luxembourg; the last seminar on securitisation took place in October 2019 in Kirchberg-Luxembourg.

  • Quentin Rutsaert wrote several articles published in PaperJam and Option Finance regarding sharia compliant investment funds.

  • Quentin Rutsaert was a speaker for Moody’s Investors Service at a conference in Amsterdam on Dutch Covered Bonds: A New Act for a Dynamic Market”.

  • Quentin Rutsaert was panellist at a seminar organised by IFE (International Faculty for Executives) regarding Professionals of the Financial Sectors held in Luxembourg on 25 November 2010.

  • Quentin Rutsaert wrote an article on the use of compartments in a Luxembourg securitisation vehicle. The article was published in the Journal of International Banking Law and Regulation, Issue 2, 2007 under the title Protected cell companies – A new trend in the securitisation industry analysed from a Luxembourg and international perspective”.
